Terms of service

The agreement

These terms are between [REGISTERED ENTITY NAME] and the club that subscribes to Clubync. By creating a club on Clubync, the person doing so confirms they are authorised to bind that club.

Accounts and roles

Sign-in is by one-time passcode to a mobile number. A user's role is set in our database, never chosen in the app, and the club controls which of its staff hold which role.

The club is responsible for who it grants access to and for removing staff who leave. Anyone holding a valid session on a number the club has authorised can act for the club.

What the club is responsible for

The accuracy of the member records it enters; having a lawful basis to hold them; telling its members how their data is used; and the conduct of its own staff inside the product.

Acceptable use

Do not attempt to reach another club's data, probe or interfere with the service, resell access, or use Clubync to send unsolicited messages. We may suspend an account immediately where we believe any of these is happening.

Subscriptions and billing

Clubync is sold on Starter, Growth and Pro tiers, each with limits on members, staff and plans. Every club begins on a trial.

Fees are quoted in Indian rupees and are exclusive of GST unless stated. Payment is collected through Razorpay. Subscriptions renew automatically at the end of each term until cancelled.

We may change prices with [NOTICE PERIOD] notice. A change never applies to a term already paid for.

If payment lapses

A missed payment puts the account past due and we will contact the club. If it stays unpaid the account is suspended: the club keeps read access to its own records and can export them, but cannot record new attendance or payments until the balance is cleared.

We do not withhold a club's own data as leverage.

Availability

We work to keep Clubync available, but we do not commit to an uptime figure and the service is provided as is. Attendance capture is designed to keep working at the front desk without a connection; everything that needs the server, payments included, needs the server.

Your data

The club's records belong to the club. We claim no ownership over them and use them only to run the service. We may use aggregated, de-identified figures to understand and improve the product.

Ending the agreement

A club can cancel at any time from its subscription settings; access continues to the end of the paid term. We may end the agreement for a serious or repeated breach of these terms, or for non-payment after notice.

Liability

To the extent the law allows, neither party is liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to [LIABILITY CAP — commonly the fees paid in that period]. Nothing here limits liability that cannot lawfully be limited.

Governing law

These terms are governed by the laws of India, and the courts at [CITY] have exclusive jurisdiction.
